Overview
When a company in India receives foreign direct investment (FDI) from a non-resident or foreign investor, it must report this transaction to the Reserve Bank of India (RBI) through the FC-GPR (Foreign Currency-Gross Provisional Return) form. This process is governed under the Foreign Exchange Management Act (FEMA), 1999, and is mandatory for all FDI-compliant companies.
Filing FC-GPR is a regulatory obligation and must be done within 30 days from the date of issue of shares to the foreign investor. Failure to comply can result in heavy penalties and legal consequences.

What is FC-GPR?
Form FC-GPR (Foreign Currency – Gross Provisional Return) is a mandatory form that Indian companies must file when they issue shares or convertible debentures to a person or entity residing outside India (foreign investor). This form is filed on the RBI’s FIRMS Portal and helps the government track foreign capital inflows into the country.
When is FC-GPR Filing Required?
FC-GPR is required when:
A private limited company or public company receives foreign investment.
Shares or convertible securities are allotted to non-resident investors.
Equity shares, preference shares, or debentures are issued against inward remittance or conversion of capital.
